Terms of service
These terms govern training and education engagements with Ballast Wellbeing. Where a signed services agreement exists, that agreement governs and these terms fill any gaps in it.
1. What we provide
Ballast Wellbeing provides training, workshops, seminars, and consulting on mental health topics to schools, workplaces, and other organizations.
These are educational services. We do not provide counselling, assessment, diagnosis, or treatment. No session, and no material we supply, constitutes clinical care for any participant, and attending a session does not create a therapeutic or practitioner relationship between us and any participant. Participants who need clinical support should be directed to a qualified practitioner or, in an emergency, to 911 or 988.
Psychotherapy provided under the practitioner's own name is a separate service, separately governed, and is not covered by these terms.
2. Booking and confirmation
Submitting an enquiry does not book anything. An engagement is confirmed when we have issued a written proposal and you have accepted it in writing, or when a services agreement has been signed by both parties.
Prices published on this site are current at the time of publication and may change. The price in your proposal is fixed for the engagement it describes.
3. Fees, deposits, and payment
- For engagements over $2,000, a deposit of 50% is payable on signing, with the balance due on delivery.
- For engagements at or under $2,000, the full fee is invoiced on delivery unless the proposal says otherwise.
- Invoices are payable within 30 days.
- Retainer and annual package fees are billed quarterly or per term as set out in the proposal.
- Travel beyond the Greater Toronto Area and southern Ontario may be charged at cost and will be stated in the proposal, never added afterwards.
- Prices are exclusive of applicable taxes.
4. Cancellation and rescheduling
| Notice given | Charge |
|---|---|
| More than 21 days before | No charge. Any deposit is refunded or held against a future date, as you prefer. |
| 8 to 21 days before | 50% of the fee. |
| 7 days or fewer | 100% of the fee. |
Rescheduling with more than 14 days' notice carries no charge, once per engagement. Non-recoverable travel or accommodation costs already incurred are payable in addition to the above.
School closures. Where a session cannot go ahead because the school is closed for weather, a public health direction, a labour action, or another cause outside your control, we will reschedule at no charge. We are not in the business of billing a school for a snow day.
Cancellation by us. If we cancel for any reason other than a cause outside our control, you pay nothing and any deposit is refunded in full. If a cause outside our control prevents delivery, we will offer a new date or a virtual alternative, and refund in full if neither works for you.
5. Your responsibilities
To deliver properly we need you to provide, in reasonable time: accurate participant numbers, a suitable room and the audiovisual equipment agreed in the pre-session intake, and any accessibility requirements participants have told you about.
Group size limits stated in a proposal are there because the session stops working above them. Where a session is capped, we may decline to proceed with materially more participants than agreed, or run it with the practice elements removed.
For sessions involving students, a written referral protocol must be agreed before the first session: who a student is handed to if something arises, what is and is not documented, and what happens if something serious comes up. This is a condition of delivery, not a formality, and it is settled in advance rather than in the moment.
6. Certificates of completion
Participants who complete an eligible program receive a certificate of completion recording the program title and the contact hours attended. It can be confirmed at /verify.
A certificate of completion records attendance. It is not a professional designation, a licence, or an accreditation, and it does not qualify the holder to practise anything.
7. Intellectual property
All course materials, workbooks, slides, frameworks, and written content remain the intellectual property of Ballast Wellbeing.
What you may do: participants may keep their materials and use them in their own professional practice indefinitely. You may store them on your internal systems and reissue them to the same participants.
What you may not do without written permission: reproduce or distribute materials to people who did not attend, deliver the content yourself or have a third party deliver it, incorporate it into your own training, or record a session.
Where you commission bespoke material, such as a wellbeing policy review, the report we deliver is yours to use, adapt, and share within your organization without restriction.
8. Confidentiality
We treat what we learn about your organization as confidential and will not identify your organization in marketing without your written consent. Where participants disclose something in a session, we do not report it back to you individually. Summary reports describe themes, not people.
Where something disclosed in a session triggers a legal duty to report, that duty overrides this clause, and the agreed referral protocol governs how it is handled.
9. Limitation of liability
We deliver our services with reasonable skill and care and hold professional liability insurance covering training and education delivery.
Because these are educational services rather than clinical care, we are not responsible for clinical outcomes for any participant, for decisions you or your staff take after a session, or for how the training is subsequently applied.
To the maximum extent the law allows, our total liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including lost profits, lost business, or reputational harm.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
10. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it. The courts of Ontario have exclusive jurisdiction.
11. Changes
Last updated 2026. The terms that apply to an engagement are those in force when the proposal was accepted.
